1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Buyer," "Importer," or "Customer") and Texorica Fabrics ("Company," "we," "us," or "our"), a registered Indian exporter (GST: 24CKEPB5807N2Z4), regarding your purchase of textile products.
By placing an order (Domestic or Export), you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Business Nature (B2B Only)
Texorica Fabrics operates strictly as a Business-to-Business (B2B) Manufacturer & Exporter. We do not sell to retail consumers for personal use. Our products are intended for:
- Textile Wholesalers & Distributors
- Garment Manufacturers & Fashion Houses
- Boutique Owners & Resellers
- Importers & Buying Agents
3. Product Specifications & Handwork Disclaimer
3.1 Color & Texture
While we strive for accuracy, digital screens may not reflect the exact color of the fabric.
- Color Tolerance: A variation of ±5-10% in color shades between different dye lots (batches) is industry standard and acceptable.
- Sample vs. Bulk: Bulk production may slightly differ from initial samples due to dyeing processes.
3.2 Handwork & Embroidery
For products involving Hand Work (Zardosi, Khatli, Beadwork):
- Minor irregularities in bead placement or thread work are characteristics of handmade craftsmanship and are NOT considered defects.
- No two handmade pieces can be 100% identical.
4. Pricing, Taxes & Bank Charges
4.1 Currency & Taxes
- Export Orders: Prices are quoted in USD/EUR on FOB or CIF basis. Export orders are generally exempted from GST (Subject to LUT Bond).
- Domestic Orders: Prices are in INR plus applicable GST (5% or current rate).
4.2 Bank Charges (Important)
For International Wire Transfers (TT):
- All bank charges (Sender's Bank + Intermediary Bank) are the responsibility of the Buyer.
- We must receive the full invoice amount in our account. Any shortage due to bank fees must be paid before shipment.
5. Payment Terms
We strictly adhere to the following payment structure:
- Advance: 30% Advance Payment is mandatory to start production.
- Balance: 70% Balance Payment before dispatch (Ex-Factory) or against scan copy of Bill of Lading (BL) for approved export clients.
- Letter of Credit (LC): Accepted only for orders above $25,000 USD (Irrevocable LC at Sight from a top-tier bank).
6. Shipping, Customs & Duties
6.1 Delivery Terms (Incoterms)
- FOB (Free on Board): Our responsibility ends once goods are loaded on the vessel at Indian Port (Nhava Sheva/Mundra).
- CIF (Cost, Insurance, Freight): We arrange shipping to your port.
6.2 Import Duties
Important: The Buyer is solely responsible for all Import Duties, VAT, Customs Clearance Charges, and Taxes in the destination country. Texorica Fabrics is not liable for any delays caused by customs hold-ups.
7. Returns & Claims
Due to the nature of B2B textile manufacturing:
- Cut Lengths: Fabrics once cut from the roll cannot be returned or exchanged.
- Defect Claims: Must be reported within 7 days of receiving the shipment with photo/video evidence.
- Claim Limit: Our liability is strictly limited to the replacement of defective fabric or refund of the defective value. We are not liable for stitching costs, freight, or lost profits.
8. Force Majeure
We are not liable for delays caused by events beyond our control, including but not limited to: Acts of God, Government Export Bans, Raw Material Shortages, Port Strikes, or War.
9. Governing Law & Jurisdiction
All disputes are subject to the Exclusive Jurisdiction of Courts in Surat, Gujarat, India.
By doing business with us, you agree to resolve any legal matters under Indian Law within Surat jurisdiction only.
